In connection with the acquisition, Tech AnyWare founder James R. Davis, III and key members of his staff will join Digital Gateway\u2019s remote service solutions group.<\/p>\n<p>RemoteTech was originally developed by Digital Gateway to serve as a companion product to the eautomate ERP system. By providing a real\u2010time, easy\u2010to\u2010use, web\u2010based interface integrated to a dealer\u2019s e\u2010automate database, RemoteTech empowers thousands of technicians\u2010in\u2010the\u2010field with one of the most comprehensive and affordable methods to receive, review, and fulfill dispatched service calls from almost any mobile device available in today\u2019s market.<\/p>\n<p>In 2011, Davis left Digital Gateway to set out on his own and acquired the intellectual property rights to the RemoteTech product from Digital Gateway. An entrepreneur at heart, Davis desired to start and build his own company, creating Tech AnyWare and developing, marketing and selling the RemoteTech product. Having achieved much success in the market for remote service products in a short period of time, Davis sought to take Tech AnyWare to the next level of growth and development, and Digital Gateway seemed like a natural fit.<\/p>\n<p><strong>OMD and La Crosse Prevail in Lawsuit Against MWA\u00a0<\/strong><\/p>\n<p><em>Oct. 16, 2013 &#8211;<\/em> OMD Corporation and La Crosse Management Systems, Inc., subsidiaries of ECi Software Solutions have announced that the Delaware Court of Chancery has ruled in their favor in a lawsuit against MWA Intelligence, Inc. for materially breaching the confidentiality obligations in the 2007 license agreement regarding La Crosse\u2019s TechRaptor and OMD\u2019s Service\u2010On\u2010The\u2010Go software. The Delaware Court of Chancery\u2019s ruling affirms OMD\u2019s and La Crosse\u2019s termination of the agreement, opening the door for their re\u2010entry into the remote service software arena. As a result, Digital Gateway, Inc. has recently acquired the Remote Tech service solution from Tech AnyWare, LLC.<\/p>\n<p>\u201cWe are extremely pleased with the outcome of the Delaware litigation involving MWA,\u201d said Laryssa Alexander, president of ECi\u2019s Office Equipment Division. \u201cLitigation like this is always a last resort, but MWA\u2019s disregard for its confidentiality obligations under the agreement left us no choice but to enforce our rights. The court granted us the relief we were seeking: termination of the agreement and the return of our software. The real winners here are our customers, who will once again have better and more cost\u2010effective options for their remote service software needs.\u201d<\/p>\n<p>In April 2012, OMD, La Crosse and other ECi companies filed suit against MWA in Delaware after MWA included the confidential license agreement as part of a public filing in a competing lawsuit in California and then, through its attorneys, provided a copy of the complaint and the license agreement to a noted industry analyst who published an article quoting extensively from the confidential terms of the agreement. The agreement contained terms stating it was confidential and could not be disclosed to any third party without the other parties\u2019 consent. The Delaware Court of Chancery determined that MWA\u2019s conduct was a material breach of the agreement and that OMD and La Crosse\u2019s termination was proper.<\/p>\n<p>In its opinion, the Delaware Court of Chancery determined, among other things, that MWA \u201c\u2026ignored its obligation to exercise reasonable care to protect the Confidential Information in the Agreement. Rather MWA orchestrated the dissemination of Confidential Information throughout the industry&#8230;\u201d The Court also noted that \u201cMWA has not attempted to cure its breach\u2026\u201d and that it was motivated \u201cnot merely by self\u2010interest but by an intent to harm\u201d OMD and La Crosse. Lastly, the Court said in reaching its conclusions that it took \u201cseriously the fact that \u2026 MWA falsely denied\u201d providing the agreement to media sources within the industry. The court noted that, \u201cat worst, [Mike] Stramaglio intentionally misrepresented the facts as he knew them.\u201d<\/p>\n<p>\u201cMWA\u2019s material breach of its confidentiality obligations under the agreement is inexcusable, and we appreciate that the court confirmed that in its ruling,\u201d said Gordon Kushner, vice president and general counsel of ECi. \u201cWhen we confronted MWA about this conduct, they attempted to hide from us and the court how the reporter received the confidential agreement and filed documents before the court falsely representing that it didn\u2019t know how the reporter received the agreement. This is not the kind of business partner OMD, La Crosse or any of the ECi companies wants to have.\u201d<\/p>\n<p>The Delaware court did provide MWA with a nominal damages award of $190,000 in connection with certain conduct of ECi, OMD, La Crosse and Digital Gateway in connection with ECi\u2019s acquisition of DGI and related divestiture of the Remote Tech remote service software, but relative to the $25 million in damages being sought by MWA in the case, the award is immaterial to the ECi parties and evidences that the court realized what MWA\u2019s case was really all about.<\/p>\n<p>\u201cAnyone reading the court\u2019s opinion will see for themselves who prevailed here,\u201d said Ron Books, President and CEO of ECi. \u201cMWA sought nothing more than to harm ECI and our office equipment group by willfully violating its confidentiality obligations, then tried to hold us hostage for $25 million. The court saw through MWA\u2019s attempted money\u2010grab in rewarding them less than 1% of what they were alleging as damages, found that their conduct was so egregious as to deem the agreement terminated, and took special note in its opinion of the behavior of MWA executives.
